Governed by Clause 3: Intellectual Property

1. Acceptance of Terms

By accessing our website, contracting our development services, or utilizing our custom AI pipelines, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, please do not use our services.

These terms constitute a legally binding agreement between you (the "Client") and GenerativeBee, governing all consultancy, software development, search engine optimization (SEO), and AI deployment activities.

2. Scope of IT & AI Services

GenerativeBee provides digital engineering, AI orchestration, and strategic optimization. The specific deliverables of any project are detailed in a mutually executed Statement of Work (SOW).

  • Custom Code: Bespoke web, mobile, and agentic workflows built to client specifications.
  • Model Training & Fine-Tuning: Formatting training datasets and hosting custom LLMs on Client or GenerativeBee cloud tenants.
  • SEO Campaigns: Site audits, content structures, metadata modifications, and ranking consulting.

3. Intellectual Property Rights

Unless otherwise agreed in a specific Statement of Work (SOW):

  • Bespoke Work Product: All custom code, assets, and graphics developed specifically for the Client transfer to the Client's ownership upon full and final payment of all corresponding invoices.
  • Background Technology: We retain all rights to our pre-existing code libraries, utility scripts, boilerplate architectures, and development tools used across multiple client projects. Client is granted a non-exclusive, perpetual, royalty-free license to use these embedded technologies.
  • Open Source & Third-Party Code: Model frameworks (e.g. PyTorch, LangChain, Next.js) are subject to their respective open-source licensing agreements (e.g., MIT, Apache 2.0).

4. Client Obligations

To ensure successful delivery timelines, Clients must:

  • Provide timely feedback, database structures, and integration assets as agreed in sprints.
  • Adhere to API limits, third-party provider terms, and billing obligations.
  • Ensure all client-provided data payloads do not infringe on any third-party intellectual property or violate regional data laws.

5. Billing & Payment Terms

All services are billed as outlined in the project SOW:

  • Milestone Payments: Invoices are raised upon milestone completions, payable within 15 days of invoice date.
  • Subscription Services: Hosting, API routing support, or maintenance services are billed monthly in advance.
  • Late Fees: Overdue invoices accumulate interest at a rate of 1.5% per month or the maximum rate allowed by law.

6. Limitation of Liability & Warranties

Disclaimer of Guarantees

  • AI & Large Language Models: Client acknowledges that generative AI outputs are statistical approximations and can hallucinate or produce errors. GenerativeBee is not liable for inaccuracies generated by LLMs integrated into custom solutions.
  • SEO Rankings: Search engines frequently update their algorithms. GenerativeBee does not guarantee specific page-one placement or organic traffic thresholds.
  • Service Availability: While we build robust, auto-scaling systems, we are not liable for third-party hosting server outages (e.g., AWS, Vercel, Supabase).

7. Governing Law & Dispute Resolution

These terms and any disputes arising out of our professional services are governed by and construed in accordance with the laws of India.

Any legal actions, suits, or proceedings arising out of this agreement must be brought exclusively in the courts located in Jaipur, Rajasthan, India, and both parties consent to the jurisdiction of such courts.
